Terms of Service

1. Acceptance of Terms

Agentic Ledger is a wholly owned subsidiary of Managed Data Communications, Inc., a corporation registered in the State of Idaho, United States. By accessing the Agentic Ledger website at agenticledger.io (the “Site”) or using our platform services (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Site or Service.

You must be at least 16 years old to create an account or use the Service.

2. Description of Service

Agentic Ledger provides accountability infrastructure for enterprise AI agent systems, including tamper-evident audit trails, delegation chain reconstruction, agent reputation scoring, and incident resolution capabilities. The Service is available via API access and a web dashboard.

3. Accounts and API Keys

To use the Service, you must register for an account and receive an API key. You are responsible for:

• Keeping your API key confidential and secure
• All activity that occurs under your API key
• Notifying us promptly if you suspect unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Submit false, misleading, or fraudulent data to the platform
• Attempt to circumvent access controls, rate limits, or security measures
• Interfere with or disrupt the Service or its infrastructure
• Reverse-engineer, decompile, or attempt to extract proprietary algorithms
• Resell or redistribute API access without authorization

5. Data and Content

You retain ownership of data you submit to the Service. By submitting data, you grant us a limited license to process, store, and transmit that data as necessary to provide the Service.

6. The Agentic Contract Spec

The Agentic Contract Spec is a specification for recording agent authorizations, delegations, and outcomes. The spec is licensed under the Apache License, Version 2.0. Use of the spec does not require use of our platform, and use of our platform does not grant any intellectual property rights in our proprietary technology (including agent reputation algorithms, incident resolution intelligence, and anomaly detection systems).

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing:

• We do not warrant that the Service will meet specific regulatory or compliance requirements. While the platform is designed to support audit trail and governance needs, compliance with laws such as the EU AI Act requires a comprehensive approach and organizations should consult qualified legal counsel.
• Agent reputation scores and anomaly detection are informational and based on reported activity patterns. They do not constitute guarantees of agent performance or reliability.
• Tamper-evident records are designed to detect unauthorized modifications via hash chain verification. This does not constitute a guarantee that tampering is impossible.
• Encryption of federated payloads is implemented using industry-standard methods. While we do not hold decryption keys for cross-organization payloads, no encryption system can guarantee absolute security against all possible attacks or vulnerabilities.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC LEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service
• Any unauthorized access to or alteration of your data
• Decisions made based on agent reputation scores or platform data
• Any third-party conduct on the Service

OUR TOTAL AGGREGATE LIABILITY FOR ALL DIRECT DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold harmless Agentic Ledger from and against any claims, damages, losses, and expenses (including reasonable attorney's fees) arising out of or relating to your use of the Service, your violation of these terms, or your violation of any third-party rights.

11. Modifications

We may modify these terms at any time. Material changes will be communicated via email (if you have provided one) or by posting a notice on the Site at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified terms.

12. Termination

Either party may terminate the service relationship at any time. You may delete your account by contacting us. We may suspend or terminate your access for violation of these terms or for any reason with reasonable notice.

Upon termination, your right to use the Service ceases. Data retention and deletion will be handled in accordance with our Privacy Policy.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to conflict of law principles. For users in the European Economic Area, nothing in these terms affects your rights under mandatory consumer protection laws of your country of residence.
